Advertising Terms of Service

By signing our Agreement, and the BUYER paying their invoice, both Parties acknowledge that they have read, understood, and agreed to all terms stated herein.

The Agreement (“AGREEMENT”) is made and entered into on DATE OF PAID INVOICE by and between: CITY WIDE MAILERS (hereinafter “PUBLISHER”), and [Client’s Name / Company Name & Address] (hereinafter “ADVERTISER”).

Collectively, the Publisher and the Advertiser are referred to in this Agreement as the “Parties.”

1. SCOPE OF SERVICES

1.1 Project Description
The Publisher agrees to include the Advertiser’s business advertisement (“Ad”) on a CO-OP mailer that will be mailed to approximately [Listed on invoice] households in the [Listed on Invoice] area.

1.2 Ad Dimensions & Placement

  • Advertiser’s Ad will occupy a [Listed on invoice] on the Co-Op Mailer.
  • The exact placement of the Ad on the postcard is determined by the Publisher; however, the Publisher will make every effort to provide fair and visible placement – unless special positioning id discussed and arranged.

1.3 Design & Materials

  • The Advertiser will provide any required logos, images, or text in a high-resolution format acceptable to the Publisher.
  • If the Publisher is responsible for designing the Ad, the Advertiser will provide all necessary content and approve the final design before print.

2. PAYMENT TERMS

2.1 Ad Fee
The Advertiser agrees to pay a fee of $[Amount] for the Ad space on the postcard.

2.2 Payment Schedule

  • Payment Due Date: Full payment is due within 3 days of invoice.
  • Payment Methods Accepted: [Credit Card, Stripe, PayPal, Check, etc.].

2.3 Late Payments
If payment is not received by the due date, the Publisher reserves the right to cancel the Advertiser’s Ad slot and/or charge a late fee of $35.

3. TIMELINE & DISTRIBUTION

3.1 Design & Approval Deadline
The Advertiser must provide all content and approve the final design by [Listed on invoice] to ensure timely printing.

3.2 Mailing Date
The Publisher will mail the postcard on or about [Listed on invoice]. This date is subject to change due to printing schedules, postage delays, or other factors beyond the Publisher’s control.

3.3 Distribution Area
The postcard will be mailed to [Listed on invoice] households in the [Listed on invoice]. The Publisher is not responsible for undeliverable addresses, incomplete routes, or changes in mailing data by third-party carriers.

4. PUBLISHER RESPONSIBILITIES

4.1 Printing & Fulfillment
The Publisher will oversee all printing, packaging, and mailing of the postcards.

4.2 Quality Standards
The Publisher will make every reasonable effort to ensure the postcard and the Advertiser’s Ad is printed with professional quality. Minor variances in color, alignment, or print quality may occur due to printing processes.

4.3 Communication
The Publisher will keep the Advertiser informed of major milestones, including design completion and mailing dates.

5. ADVERTISER RESPONSIBILITIES

5.1 Content Provision
The Advertiser is responsible for providing accurate and legally compliant content. This includes any images, claims, offers, or text used in the Ad.

5.2 Proof Approval
The Advertiser must review and approve the final Ad design before printing. Delays in approval may affect mailing deadlines.

5.3 Compliance
The Advertiser represents and warrants that the Ad content does not infringe on any third-party rights and complies with all applicable laws and regulations.

6. CANCELLATIONS & REFUNDS

6.1 Cancellation by Advertiser
If the Advertiser cancels after the design process has begun but before printing, the Advertiser may be responsible for a cancellation fee of $15 to cover administrative and design costs. If canceled after printing, no refund will be provided.

6.2 Cancellation by Publisher
The Publisher reserves the right to cancel the Advertiser’s slot if payments or required materials are not received on time. In such cases, any partial payments made may be forfeited at the Publisher’s discretion.

7. LIMITATION OF LIABILITY

7.1 No Guarantee of Results
The Advertiser acknowledges that the Publisher does not guarantee any specific response rate or ROI from the postcard.

7.2 Indemnification
The Advertiser agrees to indemnify and hold the Publisher harmless against any and all legal claims, costs, and damages resulting from the Advertiser’s Ad content or business activities.

8. GENERAL PROVISIONS

8.1 Entire Agreement
This Agreement constitutes the entire understanding between the Parties and supersedes any prior agreements or understandings.

8.2 Modification
Any modifications to this Agreement must be in writing and signed by both Parties.

8.3 Governing Law
This Agreement shall be governed by the laws of Wisconsin without regard to its conflict of law provisions.

8.4 Severability
If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in full force and effect.

8.5 Execution
This Agreement may be executed electronically or via counterparts, each of which shall be deemed an original.
